Introduction

Welcome to AlpineWeb. These Terms of Service ("Terms") govern your use of our website and services. By accessing or using our services, you agree to be bound by these Terms.

These Terms are governed by the laws of New Zealand, including the Contract and Commercial Law Act 2017, the Fair Trading Act 1986, and the Consumer Guarantees Act 1993.

Services

AlpineWeb provides web design, development, and digital marketing services for businesses. Our services include but are not limited to website design, website development, search engine optimization, content creation, and digital strategy consulting.

Client Relationship

When you engage our services, a client relationship is established through a separate agreement that outlines the specific services, deliverables, timeline, and payment terms. These Terms supplement any such agreement.

Intellectual Property

Upon full payment for our services, you will own the final deliverables we create specifically for you. However, we retain ownership of all preliminary designs, concepts, and other materials created during the development process but not included in the final deliverables.

We retain the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles, and in books about design.

Content Ownership and Responsibility

You are responsible for ensuring that you have the right to use any content you provide to us, including text, images, logos, and other materials. You agree to indemnify us against any claims related to content you provide.

Payment Terms

Payment terms are specified in your service agreement. Unless otherwise stated, invoices are due within 14 days of issuance. Late payments may incur additional fees and/or suspension of services.

All prices are in New Zealand Dollars (NZD) and include GST unless otherwise specified.

Project Delays and Client Responsibilities

Project timelines depend on your timely provision of materials, feedback, and approvals. Significant delays caused by you may result in project rescheduling and/or additional costs.

Termination

Either party may terminate the service agreement under the conditions specified therein. Upon termination, you must pay for all services rendered up to the termination date.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.

Our total liability for any claims under these Terms shall not exceed the amount you paid us for the applicable services.

Warranties and Representations

We warrant that our services will be performed in a professional manner consistent with industry standards. This warranty is valid for 30 days from the delivery of services.

To the extent permitted by law, all other warranties, express or implied, are excluded. For consumers, the guarantees under the Consumer Guarantees Act 1993 apply.

Indemnification

You agree to indemnify and hold harmless AlpineWeb and its employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses related to your use of our services or your breach of these Terms.

Dispute Resolution

Any disputes arising from these Terms shall be resolved first through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation in Queenstown, New Zealand. If mediation is unsuccessful, the dispute shall be resolved through the courts of New Zealand.

Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on our website and updating the "Last updated" date.
